Thailand offers a competitive 20% corporate tax rate with the Board of Investment (BOI) providing tax holidays of 3-13 years for promoted industries. The Foreign Business Act caps foreign ownership at 49% in most sectors, but BOI-promoted companies can achieve 100% foreign ownership with CIT exemption, import duty waivers, and land ownership rights. Known as the "Detroit of Asia", Thailand hosts Toyota, Honda, Nissan, and Mitsubishi's regional manufacturing bases. The Eastern Economic Corridor (EEC) provides enhanced incentives for EV, digital, aviation, and biotech. The India-Thailand DTAA provides 10% on dividends, and India's Act East Policy is deepening bilateral ties. Comply Globally has helped 1,080+ entrepreneurs across 47+ countries.
OUR THAILAND SERVICES
Co., Ltd. formation, BOI applications, Foreign Business Licences, work permits and FEMA compliance from a single point of contact.
Register a Thai private limited company (Co., Ltd.) with the Department of Business Development (DBD), online through DBD Biz Regist. You need at least 2 promoters and 2 shareholders (since 2023). Under the Foreign Business Act, a company more than 49% foreign-owned is a foreign company: it needs THB 2 million paid-up capital, or THB 3 million+ where the activity needs a Foreign Business Licence, as most services do. Full foreign ownership comes through BOI promotion or a Foreign Business Licence. Work permits are typically tied to THB 2 million capital and four Thai staff per foreigner. We handle name reservation, memorandum, DBD filing and Revenue Department tax ID. Source: DBD, FBA B.E. 2542.
Thailand's incentive system runs through the Board of Investment (BOI). Standard CIT is 20%. SMEs with paid-up capital up to THB 5 million and revenue up to THB 30 million pay 0% on the first THB 300,000 of profit, 15% up to THB 3 million, then 20%. BOI promotion gives CIT exemption of up to 8 years by activity group and 10-13 years for A1+ activities, plus import duty exemption on machinery. Projects in the Eastern Economic Corridor (EEC) can get up to 2 extra years. VAT is 7% (statutory 10%; the reduced rate runs to 30 September 2027). India-Thailand DTAA: dividends 10%, interest 10%, royalties 10%. Source: Revenue Department, BOI.
Dual-side management: DBD formation AND Indian FEMA compliance. Form ODI filing, APR by 31 December, FLA to RBI by 15 July, FTC under Section 90. The India-Thailand DTAA caps withholding on dividends, interest and royalties at 10%, and Thai tax withheld on dividends is creditable in India. A BOI tax holiday means little Thai CIT is paid, so model the Indian tax on repatriated profit before you pick a structure. Thailand is in RCEP, not CPTPP. Source: RBI.
Non-Immigrant B visa plus a work permit from the Department of Employment is the standard route for founders and staff of a Thai company. BOI-promoted companies get visa and work permit facilitation for foreign experts and skilled workers. LTR visa: 10 years (5 + 5) for highly skilled professionals, with a digital work permit and a 17% flat personal income tax. SMART Visa: for experts and startup founders in BOI-targeted industries. Destination Thailand Visa (DTV): for remote workers serving overseas clients only, no Thai employment. Source: BOI, Immigration Bureau.
Thailand is a founding ASEAN member and an RCEP party, giving preferential access to China, Japan, Korea, Australia, NZ and all ASEAN members. It is not a CPTPP member. Trade with India runs under the ASEAN-India Trade in Goods Agreement (AITIGA), now under review. Laem Chabang, inside the Eastern Economic Corridor, is the main deep-sea port. BOI-promoted exporters get import duty exemption on raw materials used for export production. We handle Thai customs, IOR/EOR, import VAT, and India-Thailand trade facilitation. Corporate accounts at Bangkok Bank, Kasikornbank, Siam Commercial Bank (SCB) and Krungthai Bank. Indian Overseas Bank (IOB) runs a branch in Bangkok. Banks review the DBD company affidavit, shareholder list, memorandum, business plan and director passports before opening an account. A foreign-owned company has to show its minimum capital is paid up, so the capital deposit and bank evidence come first. Plan several weeks for account opening.

Initially I was thinking their brand promises were marketing jargon — but after taking their services, I can say they are better than excellent in Speed of Action, Cost Competitiveness, and Competence.

Not by default. Under the Foreign Business Act B.E. 2542 (1999), a company more than 49% foreign-owned counts as a foreign company and cannot run restricted activities without permission; most services fall under List 3. The routes to 100% are BOI promotion (available for List 2 and List 3 activities, never List 1), a Foreign Business Licence, or a treaty certificate such as the US-Thailand Treaty of Amity, which Indian investors cannot use. A foreign company needs THB 2 million paid-up capital, or the higher of THB 3 million and 25% of three years' estimated expenses for licensed activities. Using Thai nominees to hold the 51% is an offence under the Act. Source: DBD, BOI.
A Thai company files a half-year CIT return (PND 51) within two months after the first six months of its accounting year, and the annual CIT return (PND 50) within 150 days of year-end. Its financial statements must be audited, approved at an annual general meeting held within four months of year-end, and filed with the DBD through e-filing within one month of that meeting. The shareholder list goes to the DBD within 14 days of the meeting. Once taxable revenue passes THB 1.8 million a year, VAT registration is compulsory and VAT returns (PP 30) are filed monthly. Late DBD filings carry fines for the company and its directors, so build these dates into your calendar from the first year. Source: Revenue Department, DBD.
For most foreign-owned manufacturing, R&D, digital and other targeted activities, yes. The Board of Investment grants CIT exemption of up to 8 years for most activity groups and 10 to 13 years for A1+ activities, and import duty exemption on machinery and on raw materials used for export production. The non-tax rights matter as much: 100% foreign ownership (except List 1 activities of the Foreign Business Act), permission to own land for the project, and permission to bring in foreign experts and skilled workers. Benefits apply only to the promoted activity, not the whole company, and come with conditions set in the promotion certificate. Projects in the Eastern Economic Corridor can stack extra years on top. Under RBI's Master Direction on ODI, file Form ODI with your AD bank. Automatic route within 400% of net worth. Annual: APR by 31 December, FLA to RBI by 15 July. The India-Thailand DTAA caps dividend, interest and royalty withholding at 10%, and the Thai tax withheld on dividends is creditable in India under Section 90. If the Thai company holds a BOI tax holiday, little Thai CIT is paid, so most of the tax on repatriated profit falls in India; plan the structure with both sides in view. Indian investors cannot use the US Treaty of Amity, so 100% ownership means BOI promotion or a Foreign Business Licence. Thailand is in RCEP but not CPTPP. Source: RBI, CBDT.
