How to form a company in Japan from India
Most Indian founders form a kabushiki kaisha (KK) or a godo kaisha (GK) as a Japanese subsidiary. You fix the name, business purposes, a head office in Japan, the owners and the capital; draft the articles (a KK needs a notary to authenticate them); pay in the capital; then file at the Legal Affairs Bureau for the head office area. The company exists from the filing date. Tax notices, banking, licences and your Indian ODI reporting follow as separate steps.

Pick the vehicle before the paperwork
Japan gives an Indian business four realistic ways in. Two create a new Japanese company. Two extend a company you already own. The choice decides who carries liability, what you file and how banks see you.
| CompareFeature | Kabushiki kaishaKK | Godo kaishaGK |
|---|---|---|
| What it is | A stock company owned through shares | A limited liability company owned by members |
| Owner liability | Limited to the capital contributed | Limited to the capital contributed |
| Articles | Must be authenticated by a Japanese notary | No notary authentication needed |
| Registration tax | 0.7% of capital, minimum ¥150,000 | 0.7% of capital, minimum ¥60,000 |
| Management | Shareholders appoint directors; more formal meetings and minutes | Members manage directly unless the articles name managing members |
| Profit sharing | Follows shareholding | Can be set freely in the articles |
| Annual publication | Must publish a summary balance sheet | No statutory publication of accounts |
| Suits | Plans for outside investors, large Japanese clients or a future listing | Wholly owned subsidiaries that want lower cost and simple running |
Branch office
The Indian company registers itself as a foreign company in Japan and trades directly. No capital or notary is needed, but the parent carries every liability, and at least one representative in Japan must live in Japan.
Representative office
Useful for market research, supplier visits and liaison before a launch. It is not registered as a business and cannot sign sales contracts or invoice Japanese customers, so it is a first step, not a sales base.
What goes into your formation file
The bureau, the notary and later the bank each read the same story. Build one consistent file in which names, addresses, amounts and dates match everywhere.

aCompany particulars
- Trade name with the legal form, in Japanese or Roman letters
- Business purposes written to cover the real plan
- Head office address in Japan with permission to register it
- Capital amount, financial year end and share or member details
bPeople
- Passport copy for every promoter, member and director
- Notarised and apostilled signature statement for anyone without a Japanese seal registration
- Residential address proof and the director's acceptance of appointment
- Japanese translations of documents in other languages
cMoney
- Bank record showing the capital paid into the receiving Japanese account
- Certificate of payment signed by the representative
- Indian side: Form ODI filed through your authorised dealer bank and the remittance advice
dIf an Indian company is the owner
- Certificate of incorporation and memorandum and articles
- Board resolution approving the investment and naming the signatory
- Signature certificate of the signatory and ownership chart
Most companies also order a corporate seal and register it with the bureau, even though online filings can now be signed electronically. Unsure what to gather first? Our cross border document checklist is a good start.
Eight moves from decision to registration
The order matters in Japan. Paying capital before the articles are fixed, or filing before the Indian remittance is reported, are the two mistakes that most often force a repeat.
Phase one · Decide
- 1
Choose the vehicle
Settle KK, GK or branch using the comparison above. Write down who will own it, who will sign and whether investors are likely within two years.
- 2
Clear the name and purposes
Check that no identical name is registered at the same address, then draft purposes that cover your activity. Check whether the sector needs a licence or prior notice under the Foreign Exchange and Foreign Trade Act.

Phase two · Draft
- 3
Secure the head office
Sign a lease or serviced office agreement that allows company registration. If a bank account or visa matters soon, choose premises a banker would accept.
- 4
Prepare and fix the articles
Draft the articles with the mandatory items. For a KK, a notary authenticates them, often through a proxy for founders abroad. Electronic articles avoid ¥40,000 of stamp duty.
Phase three · Fund
- 5
Report and remit from India
Indian residents and Indian companies complete Form ODI with their authorised dealer bank and obtain the unique identification number. Then remit the capital.
- 6
Pay in the capital
Pay the capital into the agreed Japanese account of a promoter or director after the articles are fixed, and keep the bank record for the filing.
Phase four · File
- 7
File at the Legal Affairs Bureau
Submit the application, articles, payment certificate, appointment papers and signature or seal certificates, and pay the registration tax. A judicial scrivener normally files on your behalf. Review takes about one to two weeks.
- 8
Switch the company on
Obtain the certificate of registered matters, then file tax notices, enrol in social insurance, open the bank account and make any foreign investment report.
Living in Japan, or running it from India
Where the founder lives changes the logistics, not the right to own the company. These are the practical differences.
Founder living in Japan
Simpler logistics, same legal file
- Registers a personal seal at the city office and uses its certificate
- Can receive the capital in a personal Japanese account
- Attends bank meetings in person, which helps account approval
- Must hold a residence status that allows running a business
Founder living in India
Fully possible, with more preparation
- No resident representative director needed for a KK or GK
- Uses notarised and apostilled signature statements instead of a seal certificate
- Needs an agreed Japanese account to receive the capital
- Faces closer bank checks; a resident director or local contact helps
- Completes ODI in India before remitting funds
Moving to Japan to run it? The Business Manager status was tightened on 16 October 2025. It now requires capital of ¥30 million, at least one full time employee who is a Japanese national or long term resident, a master's degree or three years of management experience, Japanese ability at about JLPT N2 held by the applicant or the employee, and a business plan checked by a qualified professional. Check the Immigration Services Agency criteria and our work visa support before you set capital.
Where Japanese setups stall, and the fix
No account to receive the capital
A founder abroad has no Japanese bank account, yet the filing needs proof of payment into one.
The corporate bank account is refused
Registration does not prove a real business, and new companies with only non resident directors are reviewed closely.
Signature documents are rejected
A signature statement in the wrong format, or without an apostille or translation, sends the file back.
The address works for the register only
A virtual office may register a company but fail a bank, licence or visa review.
Deadlines after registration are missed
Founders treat the certificate as the finish line and miss tax, insurance and investment reports.
The Indian side is left for later
Remitting before the ODI filing, or forgetting the annual returns, creates FEMA problems in India.
What it costs, how long it takes and what follows
The registration tax is one line. Premises, translations, bank preparation and the first year of compliance usually cost more than the filing.
| Item | Typical amount | Notes |
|---|---|---|
| Registration and licence tax, KK | Minimum ¥150,000 | 0.7% of capital where higher |
| Registration and licence tax, GK | Minimum ¥60,000 | 0.7% of capital where higher |
| Notary fee for KK articles | ¥15,000 to ¥50,000 | ¥15,000 only for capital under ¥1 million with up to three individual promoters and no board |
| Stamp duty on paper articles | ¥40,000 | Not payable on electronic articles |
| Certificates, seals, translations | Varies | Registry certificates, seal making, Indian apostilles |
| Head office | Varies widely | From a serviced office to a full lease |
| Comply Globally Japan formation support | From ₹65,000 | Government and third party fees extra |
A realistic timeline
Indicative only. Bank onboarding is the least predictable step.

Forty answers, sorted by topic
Start with a topic, or use All 40 FAQs at the end to see every question.
Can an Indian citizen set up a company in Japan?
Yes. Japanese company law does not restrict who may be a shareholder or director on the basis of nationality. An Indian individual or an Indian company can own 100% of a KK or GK, subject to sector rules under the Foreign Exchange and Foreign Trade Act and to India's own overseas investment rules.
What is the most common company type for foreign founders?
The kabushiki kaisha (KK) is the most familiar form to Japanese customers and banks. The godo kaisha (GK) has grown quickly because it is cheaper to form and simpler to run. Many wholly owned subsidiaries now choose a GK unless they expect outside investors.
Where is a Japanese company registered?
At the Legal Affairs Bureau (Homukyoku) that has jurisdiction over the head office address. The bureau is part of the Ministry of Justice and keeps the commercial register for that area.
When does the company legally come into existence?
On the date the registration application is filed at the Legal Affairs Bureau, provided the bureau accepts it. That filing date becomes the date of incorporation shown on the register.
How long does it take to form a company in Japan from India?
With a complete file, the Japanese side usually takes two to four weeks from signed articles to a registration certificate. Collecting notarised and apostilled signature statements in India and completing the ODI step with your bank often adds two to three weeks before that.
Can the company name be in English?
Yes. Trade names may use Roman letters, Arabic numerals and certain symbols as well as Japanese characters. The name must include the legal form, for example Kabushiki Kaisha or Godo Kaisha, and cannot copy an existing name registered at the same address.
Is there a minimum capital?
The legal minimum is ¥1 for both a KK and a GK. In practice, banks, landlords and clients read very low capital as a warning sign, and immigration rules for the Business Manager status now require far more, so set capital by your business plan.
Does one person need partners to form a company?
No. A single founder can be the only shareholder and the only director of a KK, or the only member of a GK. A corporate founder such as an Indian private limited company can also be the sole owner.
What is the main difference between a KK and a GK?
A KK is a stock company with shareholders and directors, notarised articles and a duty to publish a summary balance sheet each year. A GK is owned and usually managed by its members, needs no notary authentication and has no statutory publication of accounts.
Which is cheaper to form, a KK or a GK?
A GK. Its minimum registration tax is ¥60,000 against ¥150,000 for a KK, and it avoids the notary fee for the articles. On a small capital amount the difference is roughly ¥120,000 to ¥140,000 before professional fees.
Can a GK be converted into a KK later?
Yes. A GK can reorganise into a KK by a change of entity type, which involves a creditor protection procedure and new registrations. Founders who expect investors in the near term often start as a KK to avoid that later cost.
Should an Indian company open a branch instead of a subsidiary?
A branch suits an Indian company that wants the parent itself to contract in Japan and is comfortable with the parent carrying the liabilities. A subsidiary ring fences risk in a Japanese company and is usually easier for Japanese customers and banks to deal with.
Can a representative office sign contracts and invoice clients?
No. A representative office may research the market, collect information and support the parent, but it cannot carry on sales or other revenue earning activity in Japan. Once you need to trade, move to a branch or a subsidiary.
Do I choose a prefecture or state for legal reasons?
No. Japan has one national Companies Act and one registration system, so there is no state versus national choice. The company simply registers at the bureau that covers its head office, and local taxes follow that location.
Does a KK need a director who lives in Japan?
No. Since 2015 the Ministry of Justice has accepted registrations where every representative director lives outside Japan. Banks, however, still find a resident director reassuring, so many founders appoint one or plan extra banking evidence.
Does a branch need a resident representative?
Yes. A foreign company registering a branch generally needs at least one representative in Japan who lives in Japan. This rule differs from the KK and GK rules for new companies.
Can I complete the formation without travelling to Japan?
Usually yes. Signature statements can be notarised and apostilled in India, the articles can be authenticated through a proxy, and a Japanese judicial scrivener can file the registration. Travel becomes more likely at the bank account stage.
How does a non resident pay in the capital?
The capital is normally paid into a Japanese bank account held by a promoter or a director, and the bank record becomes part of the filing. Accounts at the overseas branch of a Japanese bank are also accepted. Agree the account route before drafting the articles.
Does forming a company give me a Japanese visa?
No. Incorporation and immigration are separate. To manage the business from Japan you need a status that permits it, usually Business Manager, which since 16 October 2025 needs ¥30 million of capital, a full time employee, a master's degree or three years of management experience, and Japanese ability. See the Japan visa guide for Indian founders.
Can an Indian director manage the company from India?
Legally yes, but think about tax. If key management decisions are taken in India, Indian tax authorities may argue that the company's place of effective management is in India, which can make it an Indian tax resident. Keep board decisions and records aligned with the structure you intend.
Do I need a Japanese seal if I live abroad?
Not personally. Non residents who cannot register a personal seal in Japan use a signature certificate instead, usually a notarised statement of signature from India. The company itself still commonly registers a corporate seal with the bureau.
What documents does an individual Indian founder need?
A passport copy, a notarised and apostilled signature statement, proof of residential address, the director's acceptance of appointment and evidence of the capital payment. Japanese translations are needed for documents in other languages.
What does an Indian parent company need to provide?
Its certificate of incorporation, constitutional documents, a board resolution approving the investment and naming the signatory, a signature certificate for that signatory and its ownership details. These usually need notarisation, an apostille and translation.
Is an apostille accepted for Japan?
Yes. India and Japan are both parties to the Apostille Convention, so an apostille from India's Ministry of External Affairs generally replaces consular legalisation. Check the exact document format the bureau or notary expects before you order it.
What goes into the articles of incorporation?
Mandatory items include the purposes, trade name, head office location, the amount contributed on formation and the names and addresses of the promoters or members. Most companies also set the financial year, the board structure and share transfer rules.
Why do business purposes matter so much?
The company may only act within the purposes in its articles, and banks and licensing offices read them closely. Write purposes that cover your real plans in clear terms, and avoid vague lists that look like a shell.
Can I use a virtual office as the head office?
A virtual office can often support registration, but banks, licensing offices and immigration officers may look for real premises. If you plan a Business Manager application or need a bank account quickly, choose a serviced office with a proper lease.
When should the capital be paid?
For a KK, pay the capital after the articles are authenticated, because the payment record must follow the fixed articles. For a GK, payment follows the signed articles. Paying too early is a common reason for having to repeat the step.
What are the government fees to form a KK?
Registration and licence tax of 0.7% of capital with a minimum of ¥150,000, a notary fee of ¥15,000 to ¥50,000 depending on capital and structure, and ¥40,000 of stamp duty if the articles are on paper. Electronic articles avoid the stamp duty.
What are the government fees to form a GK?
Registration and licence tax of 0.7% of capital with a minimum of ¥60,000. A GK has no notary fee, and electronic articles avoid stamp duty, which is why it is the lower cost option.
What corporate tax will the company pay?
A Japanese company pays national corporate tax plus local enterprise and inhabitant taxes. Smaller companies get a reduced rate on the first ¥8 million of income, and the combined effective rate for most companies falls roughly between 25% and 35%. Read the Japan corporate tax guide for detail.
Does a new company pay consumption tax from day one?
Not always. Exemption for the first years depends on capital, prior sales and elections, and registering for the qualified invoice system makes a company taxable. A company with capital of ¥10 million or more is generally taxable from its first year.
Does the India Japan tax treaty help?
It can reduce Japanese withholding tax on dividends, interest and royalties paid to India and gives relief against double taxation. To claim treaty rates you file the relevant forms with the payer, and the Indian parent reports the income in India.
What does Comply Globally charge for Japan?
Japan company formation support starts from ₹65,000. Government fees, notary charges, translations and other third party costs are billed separately, and the scope is confirmed in writing before work starts.
What must be filed right after registration?
A notification of incorporation to the tax office within two months, matching notices to the prefectural and municipal tax offices, the blue form tax return application, social insurance enrolment and, where it applies, a report under the Foreign Exchange and Foreign Trade Act.
Why is opening a bank account difficult?
Japanese banks review new companies carefully, especially with non resident directors and no trading history. A clear business plan, a real office, Japanese contracts or orders and a resident contact improve the odds. See how to open a Japanese business bank account.
Do KK directors need to be re registered?
Yes. A director's term in a private KK can be set at up to ten years, after which the reappointment must be registered even if the same person continues. Missing it can lead to a non registration fine.
Can Comply Globally handle both the Indian and Japanese sides?
Yes. Comply Globally runs the ODI paperwork with your authorised dealer bank alongside the Japanese file, and works with licensed Japanese judicial scriveners and tax accountants for the steps that Japanese law reserves for them.
Can Comply Globally help me choose between a KK and a GK?
Yes. The team compares cost, governance, investor plans and banking for your case and sets out the trade off in writing. The KK vs GK cost comparison gives a first view.
Will Comply Globally keep track of deadlines after formation?
Comply Globally can build a combined calendar of Japanese tax, social insurance and register deadlines with your Indian APR and FLA dates, so one team watches both countries.
Your Japan formation checklist
Forming a Japanese company from India comes down to three things done in the right order: a vehicle chosen for your plans, one consistent file across both countries, and the duties that start the day the bureau registers the company.
Tick the items as you go and print the list for your team. If any line is unclear, that is the point to ask for help, before money moves.
